Draft Motion Language Staff requests council consideration of this matter and action in the form of the following motion: Motion to approve and authorize the city manager to enter into the First Amendment to Agreement for the Lease of Use of City Fiber Option Cable between Office Partners, Inc. and the City of Boulder, in substantially the same form as Attachment A to this Memorandum

Executive Summary The purpose of this item is for city council to consider an extension of an existing fiberoptic lease. The City of Boulder and Office Partners, Inc., have maintained a longstanding agreement for the exclusive lease of four dark fiber optic strands

connecting key municipal and commercial buildings in downtown Boulder. Originally established in 2002 and reestablished under a Lease Agreement dated April 22, 2022 (the “Lease Agreement”), the arrangement supports critical connectivity between facilities located at 1301 Canyon Blvd., 1919 14th Street, 1800 Broadway, 1877 Broadway, and 1942 Broadway. Recognizing the continued mutual benefit and operational importance of this infrastructure, both parties have agreed to extend the term of the Lease Agreement for an additional twenty (20) years. The extension includes an adjustment to the annual rental rate, ensuring alignment with current market conditions and long-term sustainability of the fiber network. Because this lease is longer than three years, it requires city council approval. The lease amendment (Attachment A) reflects the city’s commitment to fostering stable, future-ready digital infrastructure partnerships while supporting the evolving needs of its tenants and stakeholders.

If the motion is approved the city will obtain signatures in order to memorialize the lease amendment.

Define and adopt a modified motion

Council would need to define any modifications or amendments to the draft motion language. This may likely require staff to renegotiate with Office Partners and then bring back an amended version for approval.

Deny the motion or take no action

If this motion is denied or council wishes to take no action, the lease will continue to hold over as a monthto-month lease under Colorado statute.

Refer back to staff

If council refers this item back to staff, staff will need specific directions as to any term revisions necessary to effectuate the lease amendment. Upon completion of renegotiations with Office Partners, staff will bring this item back to council for consideration. If those negotiates were to fail, the Lease Agreement will continue as a holdover lease
