INVITATION TO BID # 26-15 Roofing Contractor (Angevine MS, Broomfield Heights MS, Broomfield HS, Centaurus HS, Fireside ES, Alicia Sanchez ES, University Hills ES, and University Hills Primary School) October 9, 2025 Boulder Valley School District (“Owner”) is requesting sealed, written bids for furnishing all labor, materials, equipment, supervision, and incidentals, and for performing all work required for the following project: Project: Hail Damage Roof Repairs at 8 schools Location: Angevine MS, Broomfield Heights MS, Broomfield HS, Centaurus HS, Fireside ES, Alicia Sanchez ES, University Hill ES, and University Hill Primary School The work consists of: Hail Damage Roof Repairs (See Scope of Services section of this document for more detailed information). Bidders are cautioned to refer to the accompanying instruction to bidders and the project bid documents for further details. INSTRUCTIONS TO BIDDERS

The Boulder Valley School District No. RE-2, State of Colorado, hereinafter referred to as the "Owner", has requested sealed bids from prequalified vendors for the project set forth in the accompanying Invitation to Bid (the “Project”), which is part of the Owner’s 2014 Bond Program. These instructions set forth bidding requirements for the Project. 1. ACCEPTANCE OF TERMS AND CONDITIONS (including Prior Agreements & General Contract Conditions) By submitting a proposal in response to this ITB, bidders acknowledge that the District will not accept modifications to its form Construction Agreement or the accompanying General Contract Conditions. 2. BID FORMS Each bidder shall prepare its bid on forms furnished by Owner. 3. CONTRACT DOCUMENTS As used in these Instruction to Bidders, the terms “Contract” and “Contract Documents” shall have the same meaning that they have in Section 1.00 of the Owner’s General Contract Conditions. 4. PREPARATION OF BID FORMS All bids must be prepared in single copy and in conformity with and be based upon and submitted subject to all requirements of the Contract Documents, specifications and drawings. They must be fully completed with all blanks appropriately filled in. Each bid shall be legibly written, printed in ink or typewritten on a separate form other than that provided in the bound copy of the proposed Contract Documents. No alterations in bids, or in the printed forms therefor, by erasures, interpolations or otherwise will be acceptable unless each such alteration is signed or initialed by the bidder. If initialed, the Owner may require the bidder to identify any alteration so initialed. No alteration in any bid, or in the form on which it is submitted, shall be made after the bid has been submitted. It will be the bidder's responsibility to secure any and all addenda from the Owner or designee. The bidder will be required to acknowledge receipt of all addenda. Owner reserves the right to reject any bid which is received which has not been based upon all addenda issued by the Owner or designee. No bidder may submit more than one bid. Multiple bids under different names will not be accepted from one firm or association. 5. EXAMINATION OF SITE AND DOCUMENTS Each bidder shall visit the site of the proposed work and shall completely inform themselves relative to construction hazards and procedure, labor, and all other conditions and factors, local and otherwise, which would affect prosecution and completion of the work and its cost. Such considerations shall include the arrangement and condition of existing structures and facilities, the procedure necessary for maintenance of uninterrupted operation of existing facilities, the availability and cost of labor, and facilities for transportation, handling and storage of materials and equipment. All such factors shall be properly investigated and considered in the preparation of the bid. Each bidder shall so fully examine the plans and specifications and acquaint themselves with their requirements and with the conditions surrounding the construction on the site that they shall be fully familiar with and informed of all facilities, difficulties, and problems attendant on prosecution of the work. In case of disagreement between drawings and specifications or within either document itself, the better quality or greater quantity of work shall be figured in the bid. It shall be the responsibility of the bidder to direct to the attention of Owner and its applicable consultants in writing on or before the deadline for inquires, any seeming inconsistencies, ambiguous requirements, omissions, or any other matter which seems to require explanation, and to request clarification. The submission of a bid shall be taken as prima facie evidence of compliance with this requirement and as an acknowledgement that the bidder has received all the required documents and has visited the site. There will be no subsequent financial adjustment for lack of such prior information. 6. INTERPRETATION On or before the inquiry date, bidders may submit written inquiries (via email) to Owner to obtain clarification of the V9 100422

invitation to bid and/or Contract Documents. Inquiries made in person or by telephone will not be accepted and bidders may not rely on verbal statements of Owner’s staff or designees that alter the invitation to bid and/or Contract Documents. Owner or its designee will respond to timely inquiries by issuing an addendum to the invitation to bid and/or Contract Documents after the inquiry deadline set forth herein. All such addenda shall become part of the Contract Documents. By submitting a bid, bidders acknowledge receipt of such addenda and that they are bound by same. 7. BID AND PERFORMANCE GUARANTEES Bid security in the form of a cashier's check, certified check drawn on an acceptable bank or bid bond in the amount of at least ten percent (10%) of the bid price, payable without condition or qualification to the Boulder Valley School District No. RE-2, shall accompany each bid, as evidence of good faith and as a guarantee that if awarded the contract, the bidder will execute the Contract and give their bonds as required. Bid security in the form of a bond will be accepted only if prepared on the Boulder Valley School District form attached hereto from a regularly established firm licensed to write such surety bonds in the State of Colorado and which are rated not lower than A- or have Best’s Financial Rating of at least X. The bid security of each unsuccessful bidder will be returned when the Contract is executed. The bid security guarantee will be voided but retained by the Owner, if, after a Contract is offered, the bidder shall enter into a Contract and file a satisfactory performance bond, labor and material bond, and certificates of required insurance, all within ten (10) calendar days after the Notice of Award is made by the Owner. The bid security of the second and third lowest responsible bidder may be retained for not to exceed forty-five (45) days after opening, pending the execution of the Contract and bonds by the successful bidder. The Owner shall require the bidder to whom a Contract is awarded to furnish to the Owner both Performance and Labor and Material Payment bonds in the amount of one hundred (100%) percent of the Contract price, covering the faithful performance of the Contract and the payment of all obligations arising thereunder, and that the bidder will further provide warranties as required by the bonds shall comply with the Labor and Material Payment Bond sample, and the Performance Bond sample included with this ITB. Copies of the bid security will be required with your submission. Actual physical documents will be required within ten (10) calendar days when bidder is notified of award. Note: If the bid amount is under $50,000 the requirement of the bid bond is waived. 8. LIQUIDATED DAMAGES FOR FAILURE TO ENTER INTO CONTRACT If the successful bidder fails to enter into a contract with the Owner in the form prescribed within ten (10) calendar days after the date that the Owner offers a contract, then the successful bidder will forfeit and the Owner may retain the bid security as liquidated damages. 9. LIQUIDATED DAMAGES FOR FAILURE TO PERFORM ACCORDING TO TIME OF COMPLETION The contractor understands and agrees that the completion of the entire Project within the time specified is an essential feature of this Agreement and that the Owner will sustain substantial damages, the amount of which is not possible to accurately determine at the time of contracting and which may be difficult to prove, if the Work is not so completed. The contractor, therefore, agrees to proceed with due diligence, taking all precautions and making all necessary arrangements to ensure the completion of the Work within the prescribed time. The contractor further agrees that his failure to fully and finally complete the Work within the time allowed shall be considered a material breach of this Agreement and shall entitle the Owner to collect liquidated damages for the delay in completion in accordance with the General Conditions in the sum of seven hundred fifty dollars ($750.00) per calendar day. 10. SIGNATURE OF BIDDERS Each bidder shall sign the bid form using their usual signature and giving their full business address. If the bidder is an individual, they must sign in individual capacity. Bids by partnerships shall be signed with the partnership name followed by the signature and designation of one of the partners or other authorized representative. Bids by a corporation shall be signed with the name of the corporation followed by the signature and designation of the president or other person authorized to bind the corporation and attested to by the secretary with corporate seal. by joint ventures shall be signed by each participant in the joint venture or by an authorized agent of each participant. The names of all persons signing should also be typed or printed below the signature. A bid by a person who affixes to their signature the word "president" "secretary" "agent" or other designation without disclosing their principal may be held to be the bid of the individual signing. When requested by the Owner, bidder shall furnish evidence of the signer’s authority. 11. SUBMISSION OF BIDS Bid documents shall be submitted according to instructions and on or before by the time noted in the Invitation to Bid and these instructions. Bids received after the specified time of closing will not be accepted. 12. WITHDRAWAL OF BIDS Any bidder may withdraw their bid if written request for withdrawal signed in the same manner and by the same person who signed the proposal form is received by the Owner or its designee prior to the time established for the opening of the bids. No bidder may withdraw their bid for forty-five (45) calendar days after the scheduled time set for the opening thereof, or before the award of the Contract, unless said award is delayed for a period exceeding forty-five (45) calendar days. 13. MODIFICATIONS TO BID No oral or telephone modifications will be considered. Any bidder may modify their bid at any time prior to the scheduled bid opening, provided such modification is in written form, signed by the same person who signed the proposal form, and submitted to Derrell.Walton@bvsd.org in accordance with the instructions set forth in this document. 14. ACCEPTANCE OF BIDS The award of contract will be made to the responsible bidder whose proposal will be the most advantageous to the Owner, price and other factors considered. The Owner reserves the right to reject any or all bids and to waive informalities and minor irregularities in bids received and to accept any portion of a bid or all items proposed if deemed in the best interest of the Owner. Final determination of compliance with the bidding requirements will rest with the Owner. The successful bidder shall perform the work in accordance with the Contract Documents. 15. EVIDENCE OF COMPETENCY If Owner requests it, then within three (3) calendar days of such request, each bidder shall submit evidence of the bidder's competency and practical knowledge to do the particular work covered by their proposal and of the bidder's financial responsibility, resources, experience, organization and equipment to complete the proposed work. Failure to comply with this requirement may result in Owner rejecting the bid. Owner reserves the right to reject any bid where an investigation of the evidence or information submitted by such bidder does not demonstrate fully that the bidder is qualified to carry out properly the terms of the Contract Documents. In determining the bidder's qualifications, Owner may consider a number of factors, including, but not limited to: work previously completed by the bidder and whether the bidder (a) maintains a permanent place of business; (b) has adequate plant and equipment to do the work properly and expeditiously; (c) has the financial resources to meet all obligations incident to the work; and (d) has appropriate technical experience. Each bidder may be required to show that they have handled former work so that no just claims are pending against such work. No bid will be accepted from a bidder who is engaged on any work which would impair their ability to perform or finance this work. 16. INSURANCE Throughout the life of the Contract, the contractor will be required to carry the types and amounts of insurance set forth in the General Conditions and to keep on file with the Owner current certificates evidencing such coverages. Bidder’s insurance certificate shall be on Owner's forms.

17. REQUIRED FORMS Successful bidder will be required to submit within ten (10) calendar days of Notice of Award: The completed Performance Bond, and Material and Payment Bond; Insurance Certificate; and signed Contract / Contract Amendment. 18. TIME OF COMPLETION The bidder must agree to commence work following receipt of a written “Notice to Proceed” and /or as indicated on the “Proposal/Bid Form. Such notice will be issued by the Owner after the Successful Bidder has fulfilled all requirements necessary for full execution of the Contract Documents. Completion of the work for occupancy by the owner is indicated on the “Proposal/Bid Form” and must be completed in accordance with the deadlines set forth in the Contract Documents. 19. RETAINAGE Payments shall be made in the full value of the Work performed and material stored, less five percent (5%) of such value which shall be retained until completion and acceptance of all Work unless otherwise agreed by Owner, and less the aggregate of any previous payments. 20. SUPPLIER PORTAL Awarded contractor will be required to register in the BVSD Supplier Portal. Information and instructions will be provided upon award.

SCOPE OF SERVICES

Minimum Requirements/Qualifications: The Vendor must meet these minimum qualifications to be considered eligible: ● Proof of Insurance per 2022 Bond General Contract Conditions ● At least five (5) projects of a similar size and scope within the last three years. Three (3) must have been completed in Colorado under the same company name. ● Ability to meet Quality Assurance requirements indicated in Specifications. (Attachment B) ● Bonding capacity of 2 million dollars ($2,000,000.00). ● Work will be performed by a company who specializes in the installation, service of, Roofing Membrane and systems. The Roofing contractor must be a licensed installer, servicer, etc. approved by the Consultant / Architect/ Project Manager. The roofing contractor must have continuously installed serviced, the specified System and components for 3 years in Colorado under the same name (documented proof required). Scope of Work: The successful vendor will be required to complete Hail Damage Repair at 8 schools. SUBMISSION/BID OPENING/REQUIRED DOCUMENTS

Submission: One (1) complete set of required documents must be submitted/uploaded on or before the due date via email to DERRELL.WALTON@BVSD.ORG Faxed, mailed, or hand delivered bids will not be accepted. Note: ● ● ●

Late responses will not be accepted. It is the vendor’s responsibility to ensure that all documents and information are submitted prior to the due date and time. The accuracy of the bid is the sole responsibility of the Vendor. No changes in the bid shall be allowed after the date and time that the bids are due.

We will NOT be meeting in person for the Bid Opening. ● Email your bid to DERRELL.WALTON@BVSD.ORG. o .docx or .pdf files are preferred. o If you send images/pictures please number/label the files in the order that they should be “opened”. Note: please email it before the due date and time. ● Ask for a "receipt notification" to make sure I receive the email. ● Please make sure the file you send me is clear and I can read. Bidder, having examined the scope of work with related documents, and the site of the proposed work, and being familiar with all of the conditions surrounding the proposed project, including the availability of materials and labor, hereby proposes to furnish all labor, materials and supplies, and to complete the project in accordance the scope of work within the time set forth therein, and at the prices stated below. These prices are to cover all expenses incurred in performing the work required under Contract, of which the Proposal is a part. Project Timing: The successful bidder must agree to commence work on or before 5/25/26 and achieve completion of the project, including alternates, on or before the following date: 7/31/26.
