AMENDMENT #2 TO CONTRACT #1770 BY AND BETWEEN Boulder Valley School District RE-2 & Spark HoldCo, LLC dba Spark Energy Gas, LLC THIS AMENDMENT, made this 28th day of April, 2026 is made a part of that Contract #1770 entered into by and between Boulder Valley School District RE-2 (known as “BVSD” or the “District”) and Spark HoldCo, LLC dba Spark Energy Gas, LLC, (known as the “Contractor”), fully executed on May 27, 2025. WHEREAS, in consideration of the agreement of the parties hereto to modify the original Contract #1770, fully executed on May 27, 2025, between them, the Boulder Valley School District RE-2 and Spark HoldCo, LLC dba Spark Energy Gas, LLC, (the “Contract”), do by entering into this Amendment mutually agree to amend the original Contract as described above. The Contract is amended as follows: 1. 2.

The Expiration Date on the Cover Page is amended to June 30, 2027 to allow an additional 12-month period of performance for Year 2. The Contract Lifetime Maximum on the Cover Page is amended to four million two hundred thousand dollars ($4,200.000.00). This represents an estimated increase of two million one hundred thousand dollars ($2,100,000.00) over the original Contract Lifetime Maximum for Year 2 Services. Exhibit A – Statement of Work is amended to add the attached Natural Gas Sales Agreement with pricing and scope of services for Year 2.
Except as provided herein, all other terms and conditions set forth in the original Contract, fully executed on May 27, 2025, of the parties, and not in conflict with this Amendment, shall remain in full force and effect. THE PARTIES HERETO HAVE EXECUTED THIS AMENDMENT
